USDh Mint User Agreement
Hamilton Digital Assets Limited · USDh Mint User Agreement
Last updated: October 31, 2026
This USDh Mint User Agreement (this "Agreement") is between you ("you" or the "Mint User") and Hamilton Digital Assets Limited, a company incorporated in the British Virgin Islands ("HDA", "we", "us" or "our"). It governs your use of the services HDA makes available to Mint Users (the "Services"). Your USDh, and your status as a Mint User, are also governed by the USDh Terms and Conditions (the "USDh Terms"), which form part of this Agreement.
You may use the Services only while you are a Mint User. You accept this Agreement by ticking the acceptance box after scrolling through and reading it during onboarding, or by using the Services. By doing so you confirm that you have read and accept this Agreement, the USDh Terms and the Privacy Policy. If you accept for an entity, you confirm that you are authorised to bind it.
In this Agreement, "Digital Assets" means USDh and any other digital token or cryptocurrency, and "funds" includes Digital Assets.
Section 20 contains an arbitration clause and a class action waiver. Section 21 explains how this Agreement may change.
1. Eligibility, registration and verification#
1.1 Who can register. The Services are available only to institutions and individuals in jurisdictions HDA supports. If you register for an entity, you confirm that: (a) it is validly organised and in good standing where it was formed; (b) you are authorised to act for it; and (c) neither it nor any affiliate has previously been suspended or removed from any HDA service.
1.2 Your confirmations. You confirm that: (a) you, and any individual acting for you, are at least 18 years old; (b) you are not a Restricted Person or in a Restricted Territory, each as defined in the USDh Terms, and you are not a citizen or resident of, or organised in, a Prohibited Jurisdiction under Section 17.5; and (c) you will not use the Services for any illegal purpose, including money laundering, terrorist financing, sanctions evasion, fraud, illegal gambling, extortion or ransom, or for any Restricted Activity or Prohibited Transaction under the USDh Terms. Persons in the United States are not eligible. Any untrue confirmation is a breach of this Agreement.
1.3 Whitelisted wallets and users. When you register, you appoint an administrator and give HDA one or more wallet addresses to whitelist. HDA may, at its discretion, allow other individuals at your organisation to use the Services ("Additional Users"). You are responsible for your Additional Users, who must also accept this Agreement, and for managing their access to your whitelisted wallets.
1.4 Verification. You must give HDA complete and accurate information during registration and afterwards, directly or through HDA’s KYC and KYB providers, including your full legal name and your organisation’s legal name, ownership and controllers. HDA may ask for more information or documents at any time ("Enhanced Due Diligence") to verify your identity or to detect and prevent money laundering, terrorist financing, fraud or other financial crime. You authorise HDA to make the enquiries it considers necessary, directly or through third parties, to keep records of the results, and to act on them. You must keep your information up to date.
1.5 Refusal and suspension. HDA may refuse registration, or decide not to offer the Services in any market, without liability. If you do not provide requested information in time, HDA may suspend the Services until you do, or end your Mint User status. HDA may keep your registration information after your status ends, as required for business and regulatory purposes.
1.6 Breach. If HDA determines that you or an Additional User has breached this Agreement or the USDh Terms, including by transacting with a Blocked Address or engaging in a Restricted Activity or Prohibited Transaction, HDA may end your Mint User status.
2. The Services#
2.1 Minting. You may mint USDh at a rate of one USDh per one US dollar of value delivered in an accepted asset (such as USDC, USDT or AUSD, or US dollars by bank transfer), less any disclosed transaction costs. USDh is credited to your whitelisted wallet.
2.2 Redemption. You may redeem USDh for an accepted asset at a rate of one US dollar of value per USDh, less any disclosed transaction costs, delivered to your whitelisted wallet or nominated bank account.
2.3 Stablecoin and bank-transfer transactions. Mints and redemptions against accepted stablecoins settle onchain. Mints and redemptions by bank transfer settle within the period HDA tells you, usually two to three business days. During that window HDA holds the US dollar funds in transit only to complete the transaction, and this is not custody of Digital Assets.
2.4 Limits. Stablecoin-backed minting has no cap. Minting against bank transfers is subject to a daily cap. HDA may set or change mint, redemption, transfer and velocity limits, individually or in aggregate and for any period, as it considers necessary. Limits for redemptions through an Approved Route are set out in the USDh Terms.
2.5 Insufficient funds. A transaction will not complete if your whitelisted wallet or account does not hold enough funds.
2.6 Finality. Once started, a transaction cannot be reversed or refunded, except as this Agreement or the USDh Terms provide or HDA reverses it for fraud, error, technical malfunction, a Restricted Person or Blocked Address, or as required by law.
3. Approved Routes#
3.1 This Section applies if HDA has whitelisted a smart contract you operate (for example, an aggregator’s executor contract) as an Approved Route under the USDh Terms.
3.2 Route rider. For an Approved Route:
(a) the whitelisted address is your executor contract, not a wallet you hold for your own account;
(b) USDh minted, and redemption proceeds paid, through the Approved Route go directly to the user’s designated address and never to you for your own account;
(c) Digital Assets pass through your executor contract only within a single atomic transaction, and you do not hold them for your own account or between transactions;
(d) you act as a technical provider only. You are not a purchaser of USDh for resale, HDA’s agent or HDA’s distributor, and you do not market USDh on HDA’s behalf;
(e) HDA is responsible for compliance on USDh for users of the Approved Route, including sanctions and wallet screening of every mint and redemption, and the freezing or blocking of any match;
(f) HDA does not require you to verify, screen, monitor, geoblock or restrict users of the Approved Route beyond what you already do under your own terms, and you are not required to share any user data with HDA;
(g) your obligations under this Agreement relate to your own conduct only. Your sanctions and compliance confirmations cover your own activities and your own terms, not each user of the Approved Route; and
(h) users of the Approved Route are secondary users under the USDh Terms. They are not your customers for the purposes of this Agreement and not customers of HDA.
3.3 Ending a route. HDA may suspend, limit or remove an Approved Route at any time under Section 8. You may stop routing to USDh at any time without notice.
4. No custody, no fiduciary role#
HDA does not provide custody of USDh or any other Digital Asset and does not act as a fiduciary or trustee for you. Legal title to the USDh Reserves is held by HDA or by its reserve manager on HDA’s behalf, and they are administered under HDA’s reserve policies.
5. No advice#
HDA does not provide investment, tax or legal advice and does not broker trades for you. Any educational or general information HDA provides is not advice. Consult your own advisers.
6. Privacy and communications#
6.1 HDA’s Privacy Policy explains how HDA handles personal information.
6.2 You consent to receive communications electronically under the electronic communications consent in the USDh Terms.
6.3 This Agreement is in English and HDA will communicate with you in English. Any translation is for convenience only, and the English version governs.
7. Security#
7.1 You are responsible for keeping secure all credentials you use to access the Services, including passwords, private keys and seed phrases, for keeping your contact details current, and for controlling access by your Additional Users. You must tell HDA immediately if you become aware of any unauthorised use of your registration or any security breach affecting the Services. HDA recommends hardware wallets and multi-signature controls for whitelisted wallets.
7.2 HDA is not liable for losses from your failure to protect your credentials or keys, or from malware, phishing, spoofing or other attacks on your systems. If you doubt that a message really comes from HDA, contact HDA directly.
8. Suspension and termination#
8.1 By HDA. HDA may suspend or end your Mint User status, or suspend any of the Services, at any time and without liability, including for compliance, sanctions, security or technical reasons, inactivity, failure to complete verification, a court or regulatory order, or breach of this Agreement or the USDh Terms. HDA will tell you as soon as it can. HDA may also suspend the Services temporarily during a technical outage or error until it is fixed.
8.2 By you. You may end this Agreement at any time by contacting HDA, except where HDA reasonably believes you are doing so to evade a court order, an investigation, or amounts owed to HDA.
8.3 Effect. On suspension or termination, HDA may cancel or suspend pending transactions. Your access to the Services ends, but HDA will still settle any redemption that was validly submitted before termination, unless law, a regulator or a court prevents it, or the redemption is linked to a Restricted Person, Blocked Address or breach. You remain responsible for all activity under your Mint User status while it was active and for any amounts owed.
9. Fees#
HDA does not charge a fee for minting or redeeming USDh. HDA may pass on costs of a transaction, such as network gas and execution costs, and will disclose them before you confirm the transaction, unless otherwise agreed in writing. Blockchain networks may also charge fees, which you pay.
10. Relationship with the USDh Terms#
The USDh Terms apply to every USDh transaction under this Agreement. If this Agreement conflicts with the USDh Terms, the USDh Terms prevail for any USDh transaction, and this Agreement prevails for anything else.
11. Mobile and messaging#
If you use the Services on a mobile device, your carrier’s charges may apply. HDA may send you service messages by text, push notification or other electronic means. You can unsubscribe from marketing messages at any time. You must keep your phone number up to date.
12. Changes to the Services#
Subject to Section 8, HDA may change, suspend or discontinue any feature of the Services, including availability, at any time. HDA may delay any transaction it reasonably believes is suspicious, may involve fraud or misconduct, breaks the law or breaches this Agreement.
13. Taxes#
Each party is responsible for its own taxes. You are responsible for determining, reporting and paying any taxes arising from your transactions. HDA does not collect, report or remit taxes for you.
14. Indemnity and release#
14.1 You will indemnify and hold harmless HDA, its affiliates and service providers, and their officers, directors, employees and agents, from all claims, losses, liabilities, costs and expenses, including reasonable legal fees and any fines or penalties imposed by a regulator, arising out of your breach of this Agreement, your breach of any law or regulation, or your use of the Services.
14.2 If you operate an Approved Route, your indemnity does not extend to claims by users of the Approved Route, except to the extent caused by your breach, gross negligence, wilful misconduct or fraud.
14.3 If you have a dispute with another Mint User, a holder of USDh or any third party, you release HDA, its affiliates and service providers, and their officers, directors, employees and agents, from all claims arising out of that dispute.
15. Limitation of liability and disclaimer#
15.1 Neither party, nor its affiliates or their officers, directors, employees or agents, will be liable to the other for any indirect, incidental, special, consequential or exemplary damages, or for loss of profits, goodwill, use or data, arising out of or in connection with this Agreement or the Services, however caused and under any theory of liability, even if advised of the possibility.
15.2 Section 15.1 does not limit: (a) HDA’s obligation to deliver USDh or redemption proceeds for a validly completed mint or redemption; (b) your indemnity under Section 14; (c) liability for fraud or wilful misconduct; or (d) any liability that cannot be limited by law.
15.3 The Services are provided "as is", without any warranty, express, implied or statutory, including of title, merchantability, fitness for a particular purpose or non-infringement. HDA does not warrant that the Services will meet your needs or be uninterrupted, timely, secure or error-free. HDA will use reasonable efforts to process transactions promptly but cannot guarantee processing times, which depend on factors outside its control, such as banking systems and blockchain conditions.
15.4 Some jurisdictions do not allow certain exclusions. Where a provision of this Section cannot be fully enforced, it will apply to the maximum extent the law allows.
16. Set-off#
HDA may, without notice, set off any amount you owe HDA, whether present or future, actual or contingent, against any amount HDA owes you under this Agreement or any other agreement. To do so, HDA may convert any Digital Asset at the prevailing rate, and may estimate in good faith any amount that is contingent or not yet determined.
17. Sanctions, AML and legal compliance#
17.1 Your use of the Services is subject to all applicable laws, including tax, anti-money laundering, counter-terrorist financing and sanctions laws, and your continued Mint User status depends on your compliance with them at all times.
17.2 You confirm that all funds you use with the Services are not the proceeds of crime or fraud.
17.3 HDA screens Mint Users and transactions against sanctions lists, including those maintained by OFAC, the United Nations, the European Union and the United Kingdom, and will not deal with Restricted Persons or Restricted Territories or with anyone intending to transact with them.
17.4 If HDA is required to block funds under a sanctions programme or legal order, HDA may suspend or end your Mint User status, freeze the funds, or return them to their origin or to an account specified by the authorities. This may result in the loss of some or all of the affected assets. HDA is not liable for any loss from its compliance with law, regulatory direction, or any court or government order.
17.5 Prohibited Jurisdictions. You may not use the Services if you are a citizen or resident of, or organised in, any of the following (the "Prohibited Jurisdictions"): Abkhazia, Afghanistan, Angola, Belarus, Burundi, the Central African Republic, the Democratic Republic of the Congo, Crimea, Cuba, Ethiopia, Guinea-Bissau, Iran, Ivory Coast (Côte d’Ivoire), Lebanon, Liberia, Libya, Mali, Myanmar, Nicaragua, North Korea, Northern Cyprus, Russia, Somalia, Somaliland, South Ossetia, South Sudan, Sudan, Syria, the Donetsk and Luhansk regions of Ukraine, the United States, Venezuela, Yemen and Zimbabwe, or any other jurisdiction HDA designates from time to time on docs.hamilton.xyz.
18. Intellectual property#
HDA grants you a limited, non-exclusive, non-transferable and non-sublicensable licence to use the Services for the purposes HDA approves while you are a Mint User. You may not copy, modify, reverse engineer, scrape, resell or create derivative works from the Services. "USDh", "Hamilton" and related names and logos belong to HDA or its licensors and may not be used without HDA’s prior written consent, except to refer to USDh accurately or, for an Approved Route, as HDA approves in writing.
19. Website and third-party content#
HDA tries to keep information on its websites accurate and current but does not guarantee it. Links to third-party content are for convenience only and are not endorsements. HDA is not liable for losses from relying on information on its websites or third-party content.
20. Disputes#
20.1 This Agreement is governed by the laws of the British Virgin Islands.
20.2 Any dispute arising out of or in connection with this Agreement or the Services will be finally resolved by arbitration administered by the BVI International Arbitration Centre under its Arbitration Rules then in force, before one arbitrator, seated in Road Town, Tortola, British Virgin Islands, in English. The arbitrator may award any relief a court could award. Either party may seek injunctive or equitable relief, or bring an intellectual property claim, in a court of competent jurisdiction.
20.3 Claims may be brought only individually, not as part of any class, collective or representative proceeding.
20.4 Subject to this Section, the courts of the British Virgin Islands have exclusive jurisdiction.
21. Changes to this Agreement#
21.1 HDA may change this Agreement by posting a new version on docs.hamilton.xyz with a new date. Changes take effect, and are accepted by you, the first time you use the Services after posting, and apply to transactions started after that. If you do not agree, your only remedy is to stop using the Services and end your Mint User status.
21.2 If a change is material, HDA will give you notice on docs.hamilton.xyz or by email before it takes effect. A change is not material if it benefits you, is required by law, a payment network or a regulator, relates to a new product or service, or clarifies an existing term.
22. Assignment and change of control#
22.1 You may not assign this Agreement or any rights or obligations under it. Any attempt to do so is void. HDA may assign this Agreement at any time without notice or consent. If you object, you may end this Agreement under Section 8.2.
22.2 If HDA is acquired by or merged with another entity, HDA may transfer the information it holds about you as part of that transaction.
23. Survival and force majeure#
23.1 Provisions that by their nature should continue after this Agreement ends will survive.
23.2 Neither party is liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, government action, sanctions, epidemics, labour disputes, power or equipment failures, internet disruption and blockchain disruption. This does not excuse a payment obligation once the event ends.
24. Entire agreement#
If any provision of this Agreement is held unenforceable, it will be limited to the minimum extent necessary and the rest will remain in force. A failure to enforce any provision is not a waiver. Headings are for convenience only. This Agreement, the USDh Terms, HDA’s published policies and the Privacy Policy are the entire agreement between you and HDA about the Services. This Agreement creates no rights for anyone other than you, HDA and HDA’s affiliates, who may enforce it as third-party beneficiaries.
