Publius Foundation · Terms of Service

Last updated: October 31, 2026

These Terms of Service (these "Terms") are entered into between you and Publius Foundation, a Panama foundation ("Publius Foundation", "we", "us" or "our"). Publius Foundation operates the website at usdh.money, the web application at app.usdh.money and related interfaces, content, tools and documentation (together, the "Services"). Publius Foundation does not issue USDh. USDh is issued by Hamilton Digital Assets Limited, a company incorporated in the British Virgin Islands ("HDA").

Please read these Terms carefully. They affect your legal rights, and Section 9 contains a binding arbitration clause and a class action waiver. By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

"You" means the person using the Services. If you use the Services for a company or other entity, "you" also means that entity, and you confirm that you have authority to bind it to these Terms.

Terms that apply to holding and using USDh are set out in the USDh Terms and Conditions. Terms that apply to minting and redeeming USDh directly with HDA are set out in the USDh Mint User Agreement.

1. The Services#

1.1 What the Services are. The Services are an interface. They display blockchain data and help you prepare transactions that you then approve and sign in your own wallet. Through the Services you can view information about USDh, connect a wallet, see balances, and prepare transactions with (a) the USDh smart contracts and (b) smart contracts, liquidity pools, aggregators and other systems operated by third parties ("Third-Party Protocols").

1.2 What the Services are not. The Services do not hold your assets, execute transactions for you, match orders or settle trades. Every transaction you make is prepared in the Services, signed by you in your own wallet, and executed on a public blockchain. The smart contracts and blockchains that you interact with are not part of the Services, and you use them at your own risk. Anyone may build their own interface to the USDh smart contracts; the Services are not required to use USDh.

1.3 Minting and redemption. Minting and redeeming USDh directly with HDA is available only to Mint Users under the USDh Mint User Agreement, and to users of an Approved Route as described in the USDh Terms and Conditions. Other features of the Services do not create any right to mint or redeem.

1.4 Staking, rewards and the Draw. Staking (including sUSDh), rewards programmes and the Hamilton Draw that you can reach through the Services are governed by their own terms, including the Staking Terms and the Draw rules. Any rewards or prizes are paid at the discretion of the entity named in those terms and are not guaranteed. They are not services of HDA, and HDA does not pay, operate or guarantee them. Staking is not offered in the jurisdictions listed in the Staking Terms, which include the United States, the United Kingdom and the European Union.

1.5 Wallets. To use some features you must connect a self-custodial wallet provided by a third party (a "Wallet"). Your use of a Wallet is governed by its provider’s terms. Publius Foundation does not hold or know your private keys or seed phrases and cannot help you recover them. You keep control of your assets at all times.

1.6 Changes and monitoring. We may change, update or remove any part of the Services at any time. We are not required to monitor use of the Services, but we may do so to operate them, enforce these Terms and comply with law.

1.7 Fees. Publius Foundation does not charge a fee to use the Services. Transactions you make may incur network (gas) fees and fees charged by Third-Party Protocols or your Wallet provider. Fee estimates shown are estimates only. Blockchain transactions are final, and fees for failed transactions are not refundable.

2. Who may use the Services#

2.1 You must be at least 18 years old.

2.2 You may not use the Services if you are a Restricted Person or in a Restricted Territory, each as defined in the USDh Terms and Conditions, if you are a citizen or resident of, or organised in, any of the following (the "Prohibited Jurisdictions"): Abkhazia, Afghanistan, Angola, Belarus, Burundi, the Central African Republic, the Democratic Republic of the Congo, Crimea, Cuba, Ethiopia, Guinea-Bissau, Iran, Ivory Coast (Côte d’Ivoire), Lebanon, Liberia, Libya, Mali, Myanmar, Nicaragua, North Korea, Northern Cyprus, Russia, Somalia, Somaliland, South Ossetia, South Sudan, Sudan, Syria, the Donetsk and Luhansk regions of Ukraine, the United States, Venezuela, Yemen and Zimbabwe, or if you are owned or controlled by such a person.

2.3 We may use IP-based geofencing, wallet screening and other tools to enforce these restrictions. You must not use a VPN, proxy or any other means to hide your location or get around them.

2.4 You are responsible for complying with the laws that apply to you. We may ask you for information or documents where required by law, by a competent authority, or where we have reason to believe that your Wallet is being used for illegal activity or that you have given us false information.

3. Privacy#

Our Privacy Policy explains how we handle information connected to your use of the Services.

4. Your right to use the Services#

4.1 Licence. Subject to these Terms, we give you a limited, personal, non-exclusive, non-transferable and non-sublicensable right to access and use the Services. Third parties that build on the USDh smart contracts do not need this licence to do so.

4.2 What you must not do. You must not, unless we agree in writing or the law does not allow this restriction:

(a) copy, modify, distribute, sell or create derivative works from the Services or their content, other than temporary browser caching;

(b) decompile, reverse engineer or disassemble the Services;

(c) remove or misuse any trademark, logo or proprietary notice;

(d) use bots, scrapers, crawlers or other automated means to access or extract data from the Services;

(e) interfere with, overload, damage or disrupt the Services, or try to gain unauthorised access to them or to any connected system, wallet or network;

(f) get around any security, access or geographic control;

(g) introduce malware or other harmful code;

(h) engage in market manipulation, wash trading, front-running or fraud;

(i) launder money, finance terrorism, evade sanctions or carry out any other illegal activity;

(j) post or transmit unlawful, deceptive, harassing or otherwise objectionable content; or

(k) use the Services in any other way that these Terms do not allow.

4.3 Other users. You are responsible for your dealings with other users. If you have a dispute with another user, you release Publius Foundation and its affiliates, and their officers, directors, employees and agents, from claims arising out of that dispute.

5. Ownership#

5.1 The Services, including their design, text, graphics, logos and software, are owned by Publius Foundation or its licensors and protected by intellectual property law. Nothing in these Terms transfers any of those rights to you.

5.2 The USDh, Hamilton and related names and logos are trademarks of Publius Foundation or its licensors. Other names and logos on the Services belong to their owners.

5.3 If you send us feedback or suggestions, we may use them freely and without any obligation to you, and you assign to Publius Foundation any rights you have in them.

6. Third-Party Protocols and content#

6.1 The Services may show data from, link to, or help you interact with Third-Party Protocols and third-party websites and content. Publius Foundation does not control or endorse them and is not responsible for their operation, security, content, pricing or data practices.

6.2 Your use of any Third-Party Protocol is governed only by that protocol’s own terms. You waive any claim against Publius Foundation arising from it.

6.3 Information on the Services, including prices, rates and balances, is provided for information only and may be incomplete, delayed or wrong. Always check it independently before relying on it.

7. Disclaimers, risks, limitation of liability and indemnity#

7.1 No warranties. You use the Services and the USDh smart contracts at your own risk. The Services are provided "as is" and "as available". To the fullest extent the law allows, Publius Foundation, its affiliates and their officers, directors, employees, agents and licensors (the "Publius Parties"), and the signers of any multi-signature wallet controlling the USDh smart contracts ("Multisig Signers"), disclaim all warranties, express or implied, including of title, merchantability, fitness for a particular purpose, non-infringement, accuracy and availability. We do not promise that the Services will be uninterrupted, secure or error-free, or that they will meet your needs.

7.2 No advice; unsolicited use. Nothing on the Services is investment, financial, legal or tax advice. Every action you take using the Services is unsolicited: we have not recommended it, solicited it or reviewed its suitability for you. You alone decide whether any transaction is right for you.

7.3 Regulatory status. Publius Foundation is not the issuer of USDh and does not broker orders, match buyers and sellers, act as an exchange, or facilitate the execution or settlement of your transactions, which take place on public blockchains.

7.4 Risks you accept. By using the Services you confirm that you understand digital assets, wallets and smart contracts well enough to assess their risks, and that you accept those risks, including: loss of private keys; user error; smart contract bugs and exploits; blockchain attacks, congestion and forks; price volatility and loss of value; changes in law or regulation that affect USDh or the Services; uncertain tax treatment; and the absence of deposit insurance or any government protection. Smart contracts execute automatically and their transactions usually cannot be stopped or reversed.

7.5 Multisig control. Certain functions of the USDh smart contracts, such as pausing, upgrading, minting controls and freezing, are controlled by multi-signature wallets. Their signers may include persons not employed by Publius Foundation. Publius Foundation is not liable for any action or failure to act by a Multisig Signer acting outside Publius Foundation’s control.

7.6 Limitation of liability. To the fullest extent the law allows, the Publius Parties and Multisig Signers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or use, arising out of or in connection with the Services or these Terms, however caused and under any theory of liability, even if advised of the possibility. The total liability of the Publius Parties to you for all claims arising out of or in connection with the Services or these Terms will not exceed one hundred US dollars (USD 100). Claims under the USDh Terms and Conditions or the USDh Mint User Agreement are governed by those documents.

7.7 What is not limited. Nothing in these Terms limits liability for fraud, wilful misconduct, or death or personal injury caused by negligence, or any liability that cannot be limited by law.

7.8 Indemnity. You will defend, indemnify and hold harmless the Publius Parties and Multisig Signers from all claims, losses, liabilities, costs and expenses, including reasonable legal fees, arising out of or in connection with: (a) your breach of these Terms or of any law; (b) your infringement of any third party’s rights; (c) your misuse of the Services; or (d) your negligence or wilful misconduct. Publius Foundation may control the defence and settlement of any claim covered by this indemnity, and you will cooperate.

7.9 Third-party beneficiaries. The Publius Parties (other than Publius Foundation) and the Multisig Signers may rely on and enforce Sections 7 and 9.

8. Changes, suspension and termination#

8.1 Changes to these Terms. We may change these Terms by posting a new version with a new "Last updated" date. If a change is material, we will make reasonable efforts to tell you, for example by a notice on usdh.money. Changes take effect when posted unless the notice says otherwise. If you keep using the Services after that, you accept the change. A change does not apply to a dispute already submitted to arbitration.

8.2 Suspension and termination. We may suspend or end your access to the Services at any time, with or without notice, including if you breach these Terms, give us false information, are a Restricted Person or in a Restricted Territory, or if we need to do so to comply with law or our policies. If you breach these Terms, your licence under Section 4 ends automatically. Provisions that by their nature should survive termination will survive.

8.3 Injunctive relief. A breach of these Terms may cause Publius Foundation harm that money cannot adequately compensate, and Publius Foundation may seek injunctive or other equitable relief without posting a bond.

9. Disputes: arbitration and class action waiver#

9.1 Talk to us first. Before starting any formal proceedings, you and Publius Foundation will each contact the other and try in good faith to resolve the dispute, allowing the other party 30 days to respond.

9.2 Arbitration. Any dispute, claim or controversy that is not resolved under Section 9.1 and that arises out of or relates to the Services, these Terms or the USDh smart contracts, including any question about whether it must be arbitrated, will be finally resolved by arbitration administered by the BVI International Arbitration Centre under its Arbitration Rules in force at the time. The seat of arbitration is the British Virgin Islands, the tribunal will consist of one arbitrator, and the language will be English.

9.3 Exceptions. Either party may bring in a court of competent jurisdiction: (a) a small claims action within that court’s limits, brought individually; (b) a claim for injunctive relief only; or (c) an intellectual property claim.

9.4 Costs. Arbitration costs are governed by the applicable rules. If you show that those costs would be prohibitively expensive compared with a court proceeding, Publius Foundation will pay the amount the arbitrator decides is needed to prevent that, subject to reimbursement if your claim is found to be frivolous.

9.5 Class action waiver. You and Publius Foundation may bring claims against each other only individually, and not as a plaintiff or class member in any class, collective, consolidated or representative proceeding. The arbitrator may not consolidate claims of more than one person or preside over any class proceeding.

9.6 Opt-out. You may opt out of this Section 9 by emailing legal@usdh.money within 30 days of first using the Services, with your name, contact details and the wallet addresses you used. If you opt out of arbitration, the class action waiver still applies, and Publius Foundation is also not bound to arbitrate with you.

10. General#

10.1 Governing law. These Terms are governed by the laws of the British Virgin Islands. Subject to Section 9, the courts of the British Virgin Islands have jurisdiction.

10.2 Force majeure. Publius Foundation is not liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, civil unrest, government action, sanctions, epidemics, network or power failures, and blockchain disruptions.

10.3 Severability and waiver. If any provision is held unenforceable, it will be limited to the minimum extent necessary and the rest of these Terms will remain in force. A failure to enforce any provision is not a waiver.

10.4 Assignment. Publius Foundation may assign these Terms. You may not assign them without Publius Foundation’s prior written consent.

10.5 Order of documents. If these Terms conflict with the USDh Terms and Conditions or the USDh Mint User Agreement, those documents prevail on the matters they cover. The General Risk Disclosures published by Publius Foundation are incorporated into these Terms.

10.6 Entire agreement. These Terms, with the documents referred to in them, are the entire agreement between you and Publius Foundation about the Services.

10.7 Contact. You can reach Publius Foundation, a foundation established in Panama, at legal@usdh.money. Notices to Publius Foundation under these Terms must be sent to that address.
